Participant Agreement

This Participant Agreement ("Agreement") is a binding contract between you ("Participant," "you," or "your") and DONATION POS L.P. (DONATION POS E.E.), a limited partnership registered under the laws of the Hellenic Republic (Greece), operating the Wister private messaging application ("Wister," "we," "us," or "our").

Wister is a private, contact-based messaging application. All interactions — including messages, calls, stories, and gifts — occur exclusively between Users who are mutual contacts (i.e., each User has the other's phone number saved in their device contacts). Wister is NOT a public social media platform, broadcasting service, or content marketplace. Gifts can only be sent between Users who know each other and are saved in each other's phone contacts.

By applying to and participating in the Wister Community Recognition Program, you agree to be bound by this Agreement, in addition to Wister's Terms of Service, Privacy Policy, and Community Guidelines.


1. Definitions

Capitalized terms not defined in this Agreement have the meanings given to them in the Terms of Service. Additionally:

"Participant" means a User who has been accepted into the Community Recognition Program. The term "Participant" does not imply employment, agency, partnership, or any obligation to produce content or perform any services. Participants are regular, independent users of the App who may receive discretionary monetary recognition from Wister. Such recognition is funded exclusively from Wister's own operating funds and does not constitute payment for services, compensation, or the redemption or conversion of Rubies into monetary value.

"Community Recognition Program" or "Program" means Wister's optional program through which eligible Participants may receive discretionary monetary recognition from Wister's own operating funds, in recognition of community engagement and participation within the App.

"Received Rubies" means Rubies received by you as Gifts from other Users within private chats in the App. Because the App is a private, contact-based messaging platform, Received Rubies originate exclusively from voluntary, private Gift transactions between mutual contacts — not from public tipping, broadcasting, or open solicitation. Purchased Rubies are NOT eligible for the Program.

"Reward" means a discretionary monetary recognition granted by Wister to a Participant under this Program. Rewards are not wages, salary, commission, or any form of consideration for services rendered.

"KYC" means Know Your Customer — the identity verification process required before participation.

"Rubies" are digital content items purchased within the App. Rubies have no monetary value, are not redeemable for cash, and do not represent stored value, electronic money, or a financial instrument under Directive 2009/110/EC (EMD2) or Directive (EU) 2015/2366 (PSD2). Any reward granted under this Program is independent from the Rubies and granted solely at Wister's discretion.


2. Independent User Status

2.1 Nothing in this Agreement creates or shall be construed as creating an employer-employee relationship, agency, partnership, joint venture, or franchise between you and Wister.

2.2 You are an independent user of the App. You are not an employee, agent, representative, contractor, or partner of Wister, and you shall not hold yourself out as such.

2.3 You are not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, paid leave, social security contributions, or workers' compensation.

2.4 Wister does not exercise control over how, when, or whether you use the App or engage with your contacts. Participation in the Program is entirely voluntary and does not create any obligation to perform any services.

2.5 You are solely responsible for your own tax filings, social security obligations, and compliance with all laws and regulations applicable to you in your jurisdiction.


3. Eligibility

To participate in the Community Recognition Program, you must meet ALL of the following requirements at the time of application and throughout your participation:

  1. Be at least eighteen (18) years of age;
  2. Have maintained an active Wister account in good standing for at least ninety (90) consecutive days;
  3. Have accumulated a minimum of 10,000 Received Rubies (Rubies received as Gifts from your contacts);
  4. Have created and published at least 20 Stories within the App;
  5. Have at least 100 active contacts within the App;
  6. Successfully complete identity verification (KYC) as described in Section 5;
  7. Not have violated the Terms of Service, Community Guidelines, or this Agreement;
  8. Not have any pending fraud investigations, unresolved chargebacks, or account restrictions.

Wister reserves the right to modify eligibility requirements at any time.


4. Application and Approval

4.1 Application. Eligible Users may apply to the Program through the App. Applications are submitted electronically and include consent to this Agreement.

4.2 Review. All applications are subject to manual review by the Wister team. Review may take fifteen (15) to thirty (30) business days. Wister may request additional information or documentation during the review process.

4.3 Approval. Approval is entirely at Wister's discretion. Wister may accept or reject any application for any reason, including but not limited to: account activity patterns, compliance concerns, or budget availability.

4.4 No Guarantee. Submission of an application does not guarantee acceptance. Being accepted into the Program does not guarantee any specific reward amount, frequency, or continuation of the Program.


5. Identity Verification (KYC)

Before your first reward can be processed, you must complete identity verification by providing:

All KYC documents must be authentic, current, and clearly legible. Submitting fraudulent, altered, or misleading documents will result in immediate and permanent removal from the Program and may result in account termination and referral to law enforcement.


6. KYC Data Processing

6.1 Data Controller. DONATION POS L.P. is the data controller for all KYC information collected under this Agreement. KYC data is processed in accordance with our Privacy Policy and Regulation (EU) 2016/679 (GDPR).

6.2 Processing. KYC documents and personal data are processed exclusively for the purposes of identity verification, fraud prevention, tax compliance, and payment processing under this Program.

6.3 Storage and Security. KYC data is stored securely using industry-standard encryption and access controls. Access is restricted to authorized personnel on a need-to-know basis.

6.4 Retention. KYC data is retained for a minimum of seven (7) years from the date of the last transaction, as required by applicable anti-money laundering legislation (Directive (EU) 2015/849), Greek tax law (Law 4174/2013), and DAC7 reporting obligations. This retention period applies regardless of whether the Participant withdraws from the Program or deletes their Wister account.

6.5 Your Rights. Subject to applicable legal retention requirements, you have the right to access, rectify, and request erasure of your KYC data. Note that erasure requests may be partially or fully denied where retention is required by law. To exercise your rights, contact info@donationpos.gr.


7. How Rewards Work

7.1 Discretionary Nature. Rewards are entirely discretionary. Wister may, at its sole and absolute discretion, offer to provide monetary recognition to a Participant in recognition of their community engagement and participation. There is no automatic conversion, guaranteed rate, or entitlement to any reward. Rewards do not constitute wages, salary, consideration for services, or the conversion or redemption of Rubies.

7.2 Reward Request. Participants who meet the eligibility requirements may submit a reward request through the App. Each request is individually reviewed.

7.3 Reward Calculation. When Wister chooses to offer a reward, the calculation is based on Wister's internal discretionary formula, which may consider:

  • Number of Received Rubies
  • Quality of community engagement and participation
  • Positive interactions within the community
  • Account history and compliance record
  • Platform needs and budget availability

The reward rate is NOT fixed and may vary per Participant and per transaction.

7.4 Limits and Restrictions

7.5 Service Fee

Wister charges a service fee of twenty-two percent (22%) of the gross reward amount. This fee covers:

  • Administrative processing and manual review
  • Payment provider fees (SEPA/PayPal)
  • KYC and compliance verification costs
  • Fraud detection and risk assessment
  • Tax reporting and documentation

The net amount payable to the Participant will be clearly displayed before the Participant accepts the reward offer.

7.6 Payment

Rewards are paid exclusively via SEPA bank transfer or PayPal, at Wister's discretion based on the Participant's location and verification status. Participants must provide and maintain valid, verified payout details.

Processing time: 15–30 business days from approval of the reward request.


8. Participant Obligations

As a participant in the Community Recognition Program, you agree to:

  1. Provide accurate information. All identity documents, tax information, and payout details you provide must be accurate, current, and truthful.
  2. Share original content. Content you share within the App must be original or properly licensed. You must not infringe the intellectual property rights of any third party.
  3. Comply with all rules. You must comply with Wister's Terms of Service, Privacy Policy, Community Guidelines, and this Agreement at all times.
  4. Not solicit gifts under false pretenses. You must not encourage or pressure your contacts to send you Gifts through misleading claims, false promises, emotional manipulation, or deceptive practices.
  5. Not manipulate the system. You must not engage in any activity designed to artificially inflate your Received Rubies, including but not limited to:
    • Self-gifting (sending Gifts to yourself through intermediary accounts)
    • Send-receive loops (coordinated arrangements to exchange Gifts)
    • Operating multiple accounts
    • Using automated tools or bots
    • Sharing payout accounts across multiple Wister accounts
  6. Report changes promptly. You must notify Wister within 14 days of any change to your legal name, address, tax status, or payout details.
  7. Maintain account good standing. Your account must remain in good standing throughout your participation. Any violation of the Terms of Service may result in removal from the Program.

9. Conduct Standards

9.1 As a Participant in the Program, you acknowledge that your conduct within and outside the App may reflect on the Wister community. Wister reserves the right to suspend or remove you from the Program if your behavior causes or threatens to cause significant reputational harm to Wister or its community.

9.2 Grounds for removal under this section include, but are not limited to:

  • Repeated or severe violations of the Community Guidelines, even if individually insufficient for account termination
  • Conduct that harasses, threatens, or endangers other Users
  • Association of Wister with illegal activity, hate speech, or extremist content
  • Using Program participation to exert undue influence or pressure on other Users

9.3 Removal under this section does not require evidence of financial fraud or system manipulation. Wister will exercise this discretion reasonably and proportionately.


10. Tax Responsibilities

10.1 You are solely responsible for determining and fulfilling all tax obligations arising from rewards received under this Program, including income tax, VAT, social security contributions, and any other taxes applicable in your jurisdiction.

10.2 Wister does not provide tax, legal, or financial advice. You should consult a qualified tax professional regarding your individual circumstances.

10.3 Wister will issue appropriate tax documentation as required by applicable law.

10.4 DAC7 Reporting. Under Directive 2021/514/EU (DAC7) and applicable Greek tax law, Wister is required to report Participant information to relevant tax authorities where a Participant receives rewards exceeding:

  • Thirty (30) transactions in a calendar year, OR
  • Two thousand euros (€2,000) in aggregate within a calendar year.

10.5 Wister may require you to complete tax forms (e.g., W-9, W-8BEN, or Greek tax declaration forms) before processing any reward. Failure to provide requested tax documentation may result in the suspension of reward processing.


11. Fraud Prevention

11.1 Monitoring. Wister employs automated and manual fraud detection systems to monitor gift and transaction patterns. Your account activity is subject to ongoing review.

11.2 Risk Scoring. Wister maintains an automated risk scoring system (0–100) based on detected activity patterns. Accounts exceeding risk thresholds may be subject to enhanced review, temporary payout holds, or suspension of payout eligibility.

11.3 Investigation. If suspicious activity is detected on your account, Wister may:

  • Contact you for additional verification
  • Temporarily freeze pending rewards
  • Request additional documentation
  • Suspend your participation in the Program pending investigation

11.4 Consequences. Participants found to be manipulating the system, submitting fraudulent KYC documents, or violating any provision of this Agreement will face:

  • Immediate and permanent removal from the Community Recognition Program
  • Forfeiture of all pending and unpaid rewards
  • Possible account suspension or termination
  • Referral to law enforcement where required by law

11.5 Chargebacks. If a Ruby purchase associated with Gifts you received is subject to a chargeback or payment dispute, Wister reserves the right to deduct the corresponding value from your pending rewards or future reward eligibility.

11.6 Your Rights. Under GDPR Article 22, you have the right not to be subject to a decision based solely on automated processing that significantly affects you. All consequential actions (payout freeze, removal from Program, account termination) involve human review. You may contact info@donationpos.gr to request information about any risk flags or to contest a decision.


12. Anti-Money Laundering

12.1 By participating in the Community Recognition Program, you represent and warrant that:

  1. You are not using, and will not use, the Program for the purpose of money laundering, terrorist financing, or any other illegal financial activity;
  2. All funds used to purchase Rubies within the App (whether by you or by Users who send you Gifts) originate from lawful sources, to the best of your knowledge;
  3. You are not listed on any sanctions list maintained by the European Union, the United Nations, the United States (OFAC), or the Hellenic Republic;
  4. You will cooperate fully with any investigation related to suspicious financial activity involving your account.

12.2 Wister is committed to compliance with Directive (EU) 2015/849 (AMLD5) and applicable Greek anti-money laundering legislation. Wister reserves the right to report suspicious transactions to the Hellenic Financial Intelligence Unit (FIU) or other competent authorities without prior notice to you, as required by law.

12.3 Failure to comply with this section will result in immediate removal from the Program, forfeiture of all pending rewards, and may result in account termination and referral to law enforcement.


13. Sanctions and Restricted Countries

13.1 Wister may refuse to process rewards, suspend participation, or terminate Program membership for Participants who are located in, nationals of, or otherwise associated with countries or territories subject to comprehensive sanctions by:

  • The European Union (EU Council Regulations)
  • The United Nations Security Council
  • The United States Office of Foreign Assets Control (OFAC)
  • The Hellenic Republic

13.2 This includes, but is not limited to, countries currently subject to EU comprehensive financial sanctions. The list of restricted jurisdictions may change without prior notice as sanctions regimes are updated.

13.3 Wister shall not be liable for any delay, withholding, or refusal of reward processing that results from sanctions compliance obligations.

13.4 By participating in the Program, you represent and warrant that you are not located in, and are not a national or resident of, any jurisdiction subject to comprehensive EU or UN financial sanctions, unless you have disclosed this to Wister and received explicit written approval to participate.


14. Intellectual Property

14.1 You retain ownership of the content you share within the App.

14.2 By participating in the Program, you grant Wister a limited, non-exclusive, royalty-free, worldwide license to display, transmit, and process your content as necessary to operate the App and the Program.

14.3 You represent and warrant that all content you share is original or that you have the necessary rights and licenses to share it within the App.


15. Brand Usage Restrictions

15.1 You may not use the Wister name, logo, trademarks, or brand assets outside of the App without prior written approval from Wister.

15.2 You may not represent yourself as an "official partner," "ambassador," "representative," or "employee" of Wister, whether within or outside the App.

15.3 Any approved use of Wister brand assets must comply with brand guidelines provided by Wister and may be revoked at any time at Wister's discretion.

15.4 Unauthorized use of Wister's intellectual property or brand assets may result in removal from the Program and legal action.


16. Suspension and Removal

16.1 By Wister. Wister may suspend or remove you from the Community Recognition Program at any time, with or without cause, including but not limited to:

  • Violation of this Agreement, the Terms of Service, or Community Guidelines
  • Fraudulent or suspicious activity
  • Failure to maintain eligibility requirements
  • Submission of inaccurate or fraudulent KYC documents
  • Conduct causing reputational harm (Section 9)
  • AML or sanctions compliance concerns (Sections 12–13)
  • Program modifications or discontinuation

16.2 By Participant. You may withdraw from the Program at any time by contacting info@donationpos.gr. Withdrawal does not affect any pending reward requests that have already been approved.

16.3 Effect of Removal.

  • If you are removed in good standing (not due to fraud or violation), any approved and pending rewards will be processed normally.
  • If you are removed due to fraud, violation, or abuse, all pending and unpaid rewards are forfeited.
  • Removal from the Program does not necessarily result in account termination — you may continue using the App as a regular User.

17. Account Termination

If your Wister account is terminated while you are enrolled in the Program:

  • Good standing termination: You may apply for a final reward review of eligible Received Rubies within thirty (30) days of termination, subject to all terms of this Agreement and the Terms of Service.
  • Termination for cause: All pending rewards are forfeited, and Community Recognition Program privileges are permanently revoked.

18. Limitation of Liability

18.1 Wister's total liability under this Agreement shall not exceed the total rewards actually paid to you in the twelve (12) months preceding the event giving rise to the claim.

18.2 Wister shall not be liable for delays in reward processing caused by: incomplete or inaccurate information provided by you, third-party payment provider issues, regulatory requirements, sanctions compliance, or fraud investigations.

18.3 This limitation does not apply to the extent prohibited by applicable EU law.


19. Modifications

Wister reserves the right to modify this Agreement at any time. Material changes will be communicated through the App or via email. Your continued participation in the Program after the effective date of any changes constitutes acceptance of the updated Agreement. If you do not agree with the changes, you may withdraw from the Program.


20. Program Discontinuation

Wister reserves the right to modify, suspend, or permanently discontinue the Community Recognition Program at any time, for any reason, including but not limited to regulatory changes, business decisions, or platform strategy. Wister will make reasonable efforts to provide advance notice and to process any approved rewards before discontinuation.


21. Governing Law and Disputes

21.1 This Agreement is governed by the laws of the Hellenic Republic (Greece) and applicable European Union law.

21.2 Disputes shall be resolved in accordance with the dispute resolution provisions in the Terms of Service (Section 16).

21.3 If you are a consumer residing in the EU, you may use the EU Online Dispute Resolution platform.
